Terms and Conditions of the Affiliate Program on the RezerwujeStolik.pl platform
Definitions
Platform – a reservation management application available at www.rezerwujestolik.pl, operated by DITEMS Joanna Dąbrowska, headquartered at 02-495 Warsaw, Ulica Siłaczki 3/9, tax ID: 9580288961
Partner – a person or company serving Restaurateurs
Restaurateur – a company owning a venue with the possibility of handling online table reservations
Affiliate Program – defines the rules, scope, and conditions of cooperation, hereinafter referred to as the Program
Partner Panel – an administrative profile on the rezerwujestolik.pl platform
- Individuals and entrepreneurs may participate in the Affiliate Program.
- Participation in the Affiliate Program requires creating a Partner account and accepting the terms and conditions on the platform.
- Platform reserves the right to verify the Partner for the program and to refuse participation in the Program without providing a reason.
- As part of the Program, the Partner promotes the platform by placing promotional materials on their website.
- Partner is responsible for customer service, starting from agreements, the entire implementation, and subsequent communication. The Platform is responsible for technical matters and communicates with the Partner to resolve potential issues, excluding the Restaurateur from the communication.
- Platform informs the Partner about payments from Restaurateurs.
- The applicable price for the service is available on the platform's website.
- Platform informs the Partner about service price changes one month in advance.
- Platform provides a history of Restaurateur payments, which serves as the basis for settlements between the Platform and the Partner.
- Each Restaurateur registered by the Partner is assigned to the Partner, and the Partner will receive additional compensation for each subsequent purchase made by the Restaurateur, even for additional services or products.
- No commission will be paid to the Partner if the Restaurateur registered or placed an order directly on the platform before the Partner joined the Program.
- Partner's commission on each service or product ordered by the Restaurateur:
- For using the rezerwujeStolik.pl service, the Partner's commission is 50% of the net base price if no discount was given on the service.
- If a discount is granted by the Partner to the Restaurateur, the Partner waives part of their commission in the amount of the granted discount.
- In the case of additional services sold by the Platform, the commission is split 50% from the profit, meaning maintenance or purchase costs are first deducted.
- Discounts granted to the Restaurateur will appear on the invoice as a "partner discount".
- The commission statement prepared by the Platform will be the sole basis for paying the Partner's compensation.
- All transactions and margins are settled in net amounts, excluding VAT.
- All transactions and margins are transparent, available for review upon request and in the Partner Panel after logging in.
- The compensation will be paid to the Partner within 14 [fourteen] days of receiving payment from the Restaurateur. The compensation will be paid via bank transfer.
- Partner agrees to issue a VAT invoice to the platform.
- Platform reserves the right to terminate the Affiliate Program at any time, but will notify the Partner at least one month in advance at the email address provided in the Partner account.
- Platform reserves the right to suspend the Affiliate Program with immediate effect without providing a reason.
- Participation in the Affiliate Program is non-transferable to another entity, especially the rights and obligations of the Partner cannot be transferred, sold, or otherwise disposed of, particularly between Partners.
- Partner agrees not to manipulate the commissions earned. Any such actions will result in the immediate blocking of the Partner's account and the cancellation of accumulated commissions.
- Platform informs the Partner about changes regarding the operation of the Affiliate Program via email.
- Any ambiguities related to the terms will be resolved through mutual communication and cooperation. Any questions and comments regarding the terms are resolved through cooperation and dialogue between the Partner and the Platform.
- These terms and conditions are intended for the Partner.
- Partner consents to the processing of their personal data by the Platform for the purpose of carrying out the Program. The Partner consents to receiving messages related to the Program sent by the Platform to the email address provided in the Partner account.
- Platform is not responsible for failure to perform or improper performance of obligations arising from the Terms and Conditions if caused by force majeure events, as well as when it resulted from reasons beyond the control of other entities on whose behavior it has no influence.
- Platform is not responsible for damages resulting from improper operation of the Restaurateurs' computer hardware and software.
